Setting Up a Business Offshore – South Africa

I am starting a new business venture. I want the company to be registered offshore in one of the tax havens. We will have a branch in South Africa and would need to set up an entity in South Africa. I am looking for some advice on how to go about the process of registering a company offshore and the tax implications of operating a branch in South Africa. Can you assist me with this?

    Thanks for your question.

    We are experienced in South African tax and international tax. A number of our advisors are South Africans living in UK, Channel Islands and Isle of Man.

    Obviously we would need more information about where you want to set up your offshore company, where you are based and what the company does. The main area of concern is the question of corporate residence of your offshore entity. The general rules are that a company which is resident in country X will be taxable in country X on its worldwide profits. Even if a company is set up in one country say country Y, it can be called to be resident in country X if the central management and control located in the X. Therefore we would need to look into all these areas setting up a tax efficient structure for holding the offshore company; how to get cash from the entities in a tax efficient way – dividends/salary/loan etc; transfer pricing issues; exchange controls, double tax agreements etc
